Commercial Rental vs Residential Rental
The Lease and Loan Law protects residential tenants — setting limits on rent increases, disclosure obligations for landlords, and protections against sudden eviction. However, commercial rental — shop, office, warehouse, business premises, workshop — is not subject to these protections.
In commercial rental, everything is negotiable and anything not written in the contract generally does not exist. A commercial lease must therefore be detailed, clear and protective. A tenant who signs an unbalanced contract can find themselves locked into difficult terms for years.
In Jerusalem, the commercial rental market is diverse — from the city centre to industrial and artisan zones. Standard negotiation practices, security requirements, arnona definitions and exit options all differ between areas. Local experience is a meaningful advantage.
What Must a Commercial Lease Include?
Rent and updates: Monthly rent, payment date and the update mechanism (Consumer Price Index? Construction Input Index? Fixed?). Ensure the update mechanism also protects the tenant against sharp increases.
Term and options: The basic tenancy period and the number of renewal options (typically 2+1 years or 3+2). The option price must be agreed in advance. Failing to define an option creates business uncertainty.
Renovation and fit-out: Who is responsible for renovations before entry? What is the condition of the property at the end? Do improvements made by the tenant remain or must they be removed? Vague clauses on this topic lead to expensive disputes at the end of the lease.
Municipal tax (arnona): Who pays, how, and what happens if the municipality suddenly increases arnona? Typically the tenant pays business arnona — but liability can be capped or shared.
Commercial Rental Disputes — How to Proceed
Commercial rental disputes are relatively common — whether due to non-payment of rent, breach of use conditions, unauthorised alterations, or a dispute at the end of the contract. Adv. Liron Yitzhak Elmaliach represents both landlords and tenants in these disputes.
Process: First, a formal warning letter demanding remedy of the breach within a fixed period. If unresolved — filing a claim. Commercial eviction requires a court judgment. In urgent cases (active damage to the property, unlawful access) an interim injunction can be sought from the court.
Prevention is better than cure: A well-drafted contract prevents disputes and legal representation costs. The investment in an attorney at the drafting stage is far smaller than the cost of representation in a dispute.
